1. Acceptance of Terms
By accessing, registering, or transacting on Shopsbee Inc.("Shopsbee", "the Platform"), you agree to be bound by these Terms of Service. These terms apply to all visitors, retail shoppers, commercial buyers, local deal voucher customers, peer-to-peer sellers, and verified merchant partners (such as local store owners and distributors).
2. Commercial Role & Platform Model
Shopsbee operates a multi-vendor retail, commercial, and local services platform. Unless explicitly identified as a Shopsbee-owned product, items listed on the Platform are sold directly by independent merchant partners ("Sellers" or "Vendors"). Shopsbee facilitates order processing, customer communications, payment routing, and Shopsbee Secure Payment Protection security.
3. Customer Artwork, Logo Uploads & Intellectual Property Indemnification
Buyers uploading corporate logos, artwork files, or custom graphics to the Proof Studio, RFQs, or custom product builders represent and warrant that they possess 100% full legal right, title, license, and authority to use and reproduce such intellectual property.
- Indemnification & Defense: Buyer agrees to defend, indemnify, and hold harmless Shopsbee Inc., its officers, directors, employees, and selling merchant partners against any and all claims, damages, liabilities, costs, and legal fees (including attorney fees) arising from alleged or actual trademark, copyright, patent, or proprietary rights infringement.
- DMCA Take-Down & Right to Reject: Shopsbee and its merchant partners reserve the right to immediately reject orders containing offensive, illegal, or obviously infringing third-party brand logos (e.g. unlicensed pro sports team logos or trademarked luxury brand emblems).
4. Merchant, Seller & Marketing Delegate Obligations
Verified Sellers, local store partners, and their appointed marketing delegates agree to the following operational standards:
- Inventory Accuracy: Sellers must maintain accurate stock levels and pricing within their Vendor Portal.
- Local Pickup & Shipping SLAs: Orders designated for local counter pickup must be prepared within 24 hours. Shipped orders must be dispatched with valid tracking numbers within specified fulfillment windows.
- Marketing Freelancer & Delegate Liability: Sellers hiring external marketing freelancers or agencies accept 100% legal, financial, and operational liability for all promotional activities, social media campaigns, and affiliate recruitment conducted under their account. Any spamming, copyright violation, or deceptive marketing by a delegate results in immediate vendor suspension or permanent platform ban.
- Prohibited & Counterfeit Items: Sellers strictly warrant that all listed goods are authentic, legal, and free from intellectual property infringement. Counterfeit or hazardous goods result in immediate account termination.
- Payout Terms: Vendor payouts are executed automatically via Stripe Connect following order fulfillment and secure payment release conditions.
5. Commercial RFQ Proposals, Promotional Events & Binding Commitments
- Binding Purchase Orders: Winning bids placed in live Promotional Events and accepted vendor RFQ custom quotes constitute legally binding purchase commitments under the Uniform Commercial Code (UCC).
- Non-Paying Buyers & Offense Penalties: Buyers failing to fund secure payment or honor accepted Commercial quote commitments within 5 business days face account suspension, forfeiture of trade credit terms, and potential collection action by the creditor vendor.
- Proof Approval Milestone Release: When a buyer approves a digital artwork proof or releases an secure payment milestone on custom production orders, such action constitutes final acceptance and waiver of pre-production specification disputes.
6. Member Overstock & Used Equipment ("As-Is, Where-Is")
Equipment listings for secondhand tools, commercial machinery, overstock inventory, and member equipment posted on Shopsbee are sold strictly on an "As-Is, Where-Is" basis:
- Disclaimer of Implied Warranties: Unless a verified seller provides an explicit written commercial warranty in the listing description, Shopsbee and peer sellers disclaim all implied warranties of merchantability and fitness for a particular purpose.
- Buyer Inspection Window: Buyers of secondhand equipment are strongly advised to request pre-delivery inspection photos or local inspection prior to releasing secure payment funds.
7. FTC Affiliate, Ambassador & Referral Link Compliance
Affiliate partners, brand ambassadors, and merchants promoting Shopsbee product links (`?ref=`) agree to comply with Federal Trade Commission (FTC) guidelines:
- Clear Disclosure Required: All social media posts, blog reviews, or video endorsements containing affiliate links must display clear and conspicuous disclosure badges (such as #Ad, #Affiliate, or "Paid Commission Link").
- Click Farming Prohibition: Fraudulent click generation, self-referral loops, or deceptive spamming results in immediate forfeiture of accrued commissions and account termination.
8. Local Deals, Vouchers & Statutory Cash Value
Purchasers of pre-paid discount vouchers and local store deals are governed by the following redemption terms:
- Promotional vs. Paid Cash Value: While promotional discount credits (e.g., "$50 off") expire on the stated merchant expiration date, the actual paid cash value (e.g., $25 paid) remains valid in compliance with the federal CARD Act and state unredeemed property laws.
- Merchant Responsibility: The issuing merchant is solely responsible for honoring voucher redemptions for goods/services at their physical store or online checkout.
9. Social Media Sync & OAuth Catalog Integrations
Merchants and authorized platform delegates connecting social media accounts (TikTok Shop, Instagram/Meta Commerce, Google Merchant Center) agree to comply with all respective third-party platform seller policies. Shopsbee automatically synchronizes listings, prices, and stock counts via official APIs.
10. Payments, Fees & Secure Payments
All payments are processed securely via Stripe. Transactions protected by Shopsbee Secure Payment Protection hold funds in trust until delivery confirmation or milestone release. Platform fees and merchant commissions are deducted automatically upon successful transaction settlement.
11. Dispute Resolution & Refunds
If a buyer receives a damaged, defective, or incorrect item, or if an order is not delivered, the buyer may file a dispute through the platform. Shopsbee administration reserves the right to review evidence (tracking records, proof photos) and issue full or partial refunds from secure payment funds.
12. Limitation of Liability & Hold Harmless
To the maximum extent permitted by law, Shopsbee Inc. shall not be liable for indirect, incidental, or consequential damages arising from merchant product performance, shipping delays, third-party seller disputes, or user artwork copyright claims. In no event shall Shopsbee's total liability exceed the total platform fees collected on the specific transaction in dispute.
13. Shopsbee Payments, Smart POS Terminals & In-Store Processing
Shopsbee Payments, Shopsbee Smart Card Terminals, and Shopsbee Tap to Pay allow merchants to accept in-person card payments, contactless NFC payments, and digital wallet transactions directly at physical retail locations.
White-Label Payment Authorization: Shopsbee Payments operates as a registered commerce platform provider. Payment processing, card reader tokenization, and payout settlements are powered by Stripe, Inc. and its financial banking partners. Merchants using Shopsbee POS agree to abide by PCI-DSS Level 1 security standards and Stripe Connect Service Terms. Hardware card terminals sold or leased by Shopsbee are pre-configured to the merchant's verified payout account.
